These Terms of Service ("Terms") govern your access to and use of the website located at morningsideincome.com (the "Site"), operated by Morningside Income Partners ("Morningside," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not access or use the Site.

1. No Offer to Sell Securities

The information on this Site is provided for general informational purposes only. It does not constitute an offer to sell, or a solicitation of an offer to buy, any security, and no such offer or solicitation will be made in any jurisdiction where it would be unlawful. Any offer of securities will be made only by means of a Private Placement Memorandum ("PPM") and related subscription documents, provided only to verified accredited investors.

While Morningside targets a fixed 7% annual return paid monthly to investors, past performance is not indicative of future results. There is no guarantee that any target return will be achieved, that distributions will continue at any particular rate or frequency, or that you will recover your invested principal. All projections, illustrations, and historical figures displayed on the Site are provided for illustrative purposes only.

5. Intellectual Property

The Site and its content — including text, graphics, logos, images, and software — are owned by or licensed to Morningside and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any portion of the Site without our prior written consent, except as permitted by applicable law.

11. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of such courts.
